Introduction

This page explains the terms by which you may use the payment processing, wallet, gateway, and other financial services made available to you on our website or mobile application (collectively, the “Services”).

By submitting your application to obtain an account with us (“Account”) and to use the Services, you signify that you have read, understood, and agree to be bound by these Bila Terms of Use, Privacy Policy, and Acceptable Use Policy (together, the “Agreement”). You also agree to receive all notices and other communications from us electronically.

Bila reserves the right to make unilateral modifications to these terms and will provide notice of such changes by posting an updated version on our Terms of Use page.

“Company” or “You” means the legal entity applying for or maintaining an Account and the individual applying for the Account. If you are the individual applying on behalf of a Company, you represent and warrant that you are an authorised representative with authority to bind the Company to this Agreement.

PLEASE READ THIS AGREEMENT CAREFULLY TO ENSURE THAT YOU UNDERSTAND EACH PROVISION. THIS AGREEMENT CONTAINS A MANDATORY INDIVIDUAL ARBITRATION AND CLASS ACTION/JUDICIAL TRIAL WAIVER PROVISION THAT REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JUDICIAL TRIAL OR CLASS ACTIONS.

Applying for an Account

Your Account gives you access to the Services, including payment wallets, payment processing and aggregation services, and other services provided by our banking and payment partners, as may be established and maintained from time to time at our sole discretion.

You must specify at least one authorised signatory when submitting your application.

Prohibited Uses

You may not use the Site, Account, or Services:

  • for any third parties unaffiliated with the Company;
  • for any personal, household, or non-business purpose;
  • in any manner that breaches applicable law;
  • to reproduce, resell, duplicate, or exploit any part of the Site or Services.

You agree not to interfere with, damage, or disrupt any part of the Site or its supporting infrastructure.

You are responsible for ensuring that all persons who access the Site through your Account comply with these terms.

Feedback

You may submit comments or ideas regarding the Services (“Feedback”). By submitting Feedback, you agree that:

  • such disclosure is voluntary and non-confidential;
  • Devdraft is free to use the Feedback without compensation or obligation;
  • acceptance of Feedback does not waive any rights Devdraft may have to similar ideas developed independently.

For purposes of this Agreement, “Intellectual Property Rights” includes all patents, copyrights, trademarks, trade secrets, and related rights worldwide.

Access to Our Site

You are solely responsible for obtaining the equipment and services necessary to access the Site.

The Site is provided free of charge. We do not guarantee uninterrupted availability and may withdraw, suspend, or restrict access for business or operational reasons, with reasonable notice where practicable.

Our Intellectual Property and Proprietary Rights

Subject to this Agreement, you are granted a limited, non-exclusive, non-transferable, revocable licence to use the Services.

All intellectual property on the Site and related materials is owned exclusively by Devdraft or its licensors and is protected by the laws of the Republic of Zambia and applicable international laws.

No materials may be modified, copied, or redistributed without our prior written consent.

Right to Data Safety

All information provided by you during account creation or use of the Services must be kept confidential. You are responsible for safeguarding your login credentials and account access.

You may change your login details at any time and must notify us immediately upon noticing any unauthorised or suspicious activity.

You are responsible for notifying us of changes to your application information, including address or contact details.

The Services may contain links to third-party websites, applications, or services not owned or controlled by Devdraft.

You expressly relieve Devdraft of any and all liability arising from your use of any third-party website or service accessed through our Site.

Such links are provided for informational purposes only and do not constitute endorsement.

No Warranty

Use of the Services is at your own risk.

To the maximum extent permitted by law, the Services are provided without warranties of any kind, whether express or implied.

We do not guarantee the security of the Site. Any attempt to gain unauthorised access constitutes a criminal offence under the cybercrime laws of the Republic of Zambia and will be reported to the appropriate authorities.

Personal Data Use

You voluntarily provide all registration information, documents, and materials and grant Devdraft irrevocable authority to use such information in accordance with applicable law and our Privacy Policy.

Term and Termination of Agreement

This Agreement becomes effective upon submission of your application and continues until terminated by you or us.

You may terminate by settling all outstanding obligations and providing notice. You remain responsible for all charges and liabilities incurred prior to termination.

We may suspend or terminate your Account by providing notice.

Breach of These Agreements

Any breach may result in immediate suspension of access and/or initiation of legal proceedings.

Indemnity and Rights

You agree to indemnify and hold harmless Devdraft, its affiliates, banking partners, directors, employees, and service providers from any claims, losses, liabilities, or expenses arising from:

  • your use of the Services;
  • breach of this Agreement;
  • violation of law or third-party rights.

Devdraft reserves the right to take legal action in cases of fraud, abuse, or suspicious activity and may share information with banking partners or authorities as required.

Limitation of Liability

To the maximum extent permitted by law, Devdraft shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or goodwill.

Governing Law

This Agreement is governed by the laws of the Republic of Zambia, without regard to conflict-of-law principles.

Dispute Resolution and Arbitration

Disputes shall first be addressed informally by contacting support@usebila.com.

If unresolved, disputes may be resolved through mediation, arbitration under the Arbitration and Conciliation Act of Zambia, or litigation, as determined by Devdraft.

General / Miscellaneous

This Agreement constitutes the entire agreement between you and Devdraft regarding the Services.

If any provision is deemed invalid, the remaining provisions remain in force.

Notices will be provided electronically via email, SMS, or platform notification. Continued use of the Services after notice constitutes acceptance of revisions.

Complaints

If you are not satisfied with our response to your privacy concerns, you may file a complaint with the relevant data protection authority in your jurisdiction.


By using Bila's services, you acknowledge that you have read and understood this Privacy Policy.
